Terms of Service

1. Agreement to Terms

By creating an account or using The Bali Bay (the "Service"), you agree to these Terms of Service ("Terms"). If you don't agree, please don't use the Service.

2. What the Service Does

The Bali Bay helps you draft eBay listings: you upload photos and notes about an item, an AI model drafts a title, description, price range, condition, category, and item specifics, and you review and edit everything in the dashboard. Nothing is published to eBay until you explicitly click Publish.

3. Eligibility & Your Account

You must be at least 18 years old and able to form a binding contract to use the Service. You're responsible for keeping your login credentials secure and for all activity that happens under your account, and for providing accurate information when you sign up.

4. Connecting Your eBay Account

You connect your own eBay seller account through eBay's official OAuth authorization flow. We never see or store your eBay password. Everything you publish through the Service goes live only on your own eBay account — never anyone else's — and only within the permissions you grant. You can disconnect your eBay account at any time from Settings.

5. AI-Generated Content Is a Draft, Not Advice

Titles, descriptions, prices, conditions, categories, and item specifics generated by the Service are AI-generated drafts based on the photos and notes you provide. They may be inaccurate, incomplete, or simply wrong — about condition, authenticity, specifications, the right category, or fair market price. You are solely responsible for reviewing, correcting, and verifying every field before publishing, and for the accuracy and legality of anything you publish. We make no guarantee that AI-generated content is accurate.

6. Acceptable Use

You agree not to use the Service to:

• List items you don't have the legal right to sell, or that are counterfeit, stolen, illegal, or prohibited under eBay's own policies.
• Violate any applicable law, or infringe any third party's intellectual property or other rights.
• Interfere with, disrupt, reverse-engineer, or attempt unauthorized access to the Service, or to other users' accounts or data.
• Abuse, overload, or attempt to circumvent rate limits or security controls.

You are solely responsible for complying with eBay's own seller policies and all applicable law for anything you list or sell. We provide a drafting tool — we are not a party to your sale.

7. Ownership of Your Content

You retain ownership of the photos, notes, and listing content you upload. By using the Service, you grant us a limited license to use, process, store, and transmit that content — including sending it to the AI, storage, and eBay providers described in our Privacy Policy — solely to provide the Service to you, such as drafting a listing or publishing it to your own eBay account at your request.

8. Third-Party Services

The Service relies on third parties — eBay, AI providers, cloud storage, and hosting — to operate. We aren't responsible for the availability, accuracy, decisions, or actions of those third parties, including eBay's own listing policies, category or fee decisions, or account actions.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE BALI BAY AND ITS OPERATOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, SALES, OR DATA, ARISING FROM YOUR USE OF THE SERVICE OR ANY LISTING YOU PUBLISH — INCLUDING LOSSES CAUSED BY INACCURATE AI-GENERATED CONTENT, EBAY ACCOUNT ACTIONS, OR THIRD-PARTY SERVICE OUTAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF $50 OR THE AMOUNT YOU PAID US, IF ANY, IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

11. Indemnification

You agree to indemnify and hold harmless The Bali Bay and its operator from any claim, loss, or damage (including reasonable legal fees) arising from your use of the Service, any listing you publish, or your violation of these Terms or applicable law.

12. Termination

We may suspend or terminate your account at any time, including for violating these Terms or misusing the Service. You may stop using the Service and disconnect your eBay account at any time.

13. Changes to the Service or These Terms

We may update the Service or these Terms at any time. We'll update the effective date above when we do; continuing to use the Service after a change means you accept the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Texas, unless applicable law requires otherwise.
